Terms of Service

1. Acceptance of Terms

By accessing or using the Noderan platform ("Service"), you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and fully agree to be bound by these Terms of Service ("Terms").

If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree with any part of these Terms, you are prohibited from using the Service.

2. Intellectual Property Rights

We clearly distinguish between the platform's intellectual property and content you create.

3. Credits & Billing

3.1 Credit-Based Pricing

Services are billed on a prepaid credit basis. You purchase credits in advance, and each workflow or agent execution deducts the applicable credit cost displayed on the Marketplace at the time of use. Credits do not expire for as long as your account remains in good standing.

3.2 Refund Policy

Credits are generally non-refundable. Exceptions are made only in verified cases of technical failure attributable to Noderan. To request a credit refund, contact [email protected] within 14 days of the incident with your request ID.

Unused credits are not refunded upon voluntary account closure.

3.3 Taxes

All prices are exclusive of applicable taxes. You are responsible for any sales, use, VAT, or equivalent taxes arising from your use of the Service.

4. Acceptable Use

You agree that you will not use the Service — directly or indirectly — to:

• Reverse engineer, decompile, or attempt to extract source code from any part of the Service.
• Develop competing platforms or products using our benchmarks, outputs, or proprietary models.
• Deploy agents for illegal activities, harassment, spreading misinformation, or generating malicious or harmful content.
• Bypass rate limits, quotas, or security controls through automation, proxies, or other means.
• Upload or process content that infringes third-party intellectual property rights.
• Interfere with the integrity or performance of the Service or its underlying infrastructure.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Noderan and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill.

In no event shall Noderan's total aggregate liability for any claims arising from or related to these Terms or the Service exceed the greater of (a) the total amount paid by you to Noderan in the twelve (12) months preceding the claim or (b) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

6. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. Failing that, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in English.

7. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or an in-app notification at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
